Corporate Finance and Development is a close-knit, highly experienced team that functions as a "boutique" investment bank inside Charter Communications, the 5th largest communications provider in the United States and a Fortune 100 company. Our clients are the CEO, CFO and other executive management and Charter's Board of Directors.

Our group has responsibility for capital allocation at Charter, combining traditional Corporate Development activity with management of Charter's $100 billion balance sheet.

As Sr. Manager, M&A / Corporate Finance you will have the opportunity to pursue your interest in communications services and technology to help develop and prosecute Charter's strategy to create shareholder value across residential broadband and enterprise connectivity, wireless, streaming content, adtech, and next generation networking.

On any given day, you could be engaging entrepreneurs on a potential venture investment, analyzing a mega-cap public M&A transaction, executing a multi-$ billion debt deal, reviewing the company's capital structure / shareholder remuneration policies in light of the latest long range plan, having senior bankers pitch you M&A ideas, or briefing the C-suite on our acquisition pipeline.

MAJOR DUTIES AND RESPONSIBILITIES
  • Work with Corporate Finance and Development leadership and business unit leaders to develop and implement inorganic growth strategies
  • Assist with all financial aspects of M&A including targeting, financial evaluation, negotiation and documentation, and post-merger tracking
  • Evaluate, execute, and monitor venture capital / strategic investments and joint ventures, including through participation as observer on select company boards
  • Coordinate due diligence process on acquisitions and investments; assess financial health of key vendors
  • Create business plans, valuation modeling and investment committee / board materials for presentation to executive management
  • Analyze capital allocation strategy, capital structure and impact on leverage ratios, cost of debt and liquidity
  • Execute large scale transactions in the debt capital and loan markets, conduct share repurchase program
  • Recruit, train and mentor junior professionals
  • Continually improve our processes to drive more efficient / effective execution

REQUIRED QUALIFICATIONS

Required Skills/Abilities and Knowledge
  • Team working orientation, ability to develop talent and build relationships
  • Intellectual curiosity and a desire to master broad-based finance and negotiation skills
  • Strong business judgement and ability to advocate positions
  • Make decisions and solve problems while working to deadlines
  • Coordinate and execute delivery of multiple projects in parallel
  • Effective presentation of information to senior business leaders
  • Strong understanding of Accounting and Finance theory and practice
  • Advanced Excel skills to build, quality check and interpret financial models
  • High level of attention to detail


Required Education
Bachelor's degree in Finance, Accounting, Business, or Economics

Required Related Work Experience and Number of Years
  • 2-4 years of Investment Banking experience, preferably in TMT sector coverage or M&A
  • 2-4 years Private Equity/Venture Capital
  • 3-5 years Corporate Development, Strategic Finance, Big 4 Transactional Audit Accounting or equivalent Consulting


Preferred Skills/Abilities and Knowledge
  • CPA, CFA or equivalent with practical experience
  • Negotiation of contracts, including purchase and sale agreements and investment agreements
  • Demonstrated interest in media & telecommunications and underlying technologies
  • Build and manage external relationships (e.g. investment banks, entrepreneurs)
