We are a boutique law firm based in the San Francisco Bay Area that specializes in representing venture capital funds and startups in all stages of their lifecycles, including formations, financings, investments, joint ventures, and acquisitions.

Our law firm is looking for a junior associate to work with our investment fund clients.  Typical tasks would initially include, but are not limited to:

  • assisting fund managers form investment funds by preparing term sheets and fund documents;
  • onboarding investors and negotiating the terms of their investments;
  • preparing documents granting equity interests to service providers; and
  • conducting research in securities, investment company, and investment adviser regulations.

 

The position would be fully remote—we have no physical offices. 

The ideal candidate would be an active member of the California bar (or a law student planning to take the California bar exam) and have an interest in and basic knowledge of corporate law.  We welcome candidates who have experience in a different corporate practice or who are returning to the practice of law after taking a break—our Managing Partner did just that.

Having a background in accounting (particularly partnership accounting), which could range from college coursework to experience as a CPA, would be a significant advantage in this position.  Structuring and drafting fund documents often require an understanding of the accounting details and how to navigate them, which tends to be the most difficult part of our practice to learn for those without prior accounting experience.

Full-time associates at our firm have an annual target of 1400 billable hours.  We are committed to supporting our associates with training and mentorship.
