Overview

The Corporate Finance Business Partner M&A will be a business partner to the Strategic Business Development Group (SBD) as well as work alongside the CFO and the VP Commercial Finance, taking the lead on Finance due diligence and integration activities for global M&A.

MAJOR ACTIVITIES AND RESPONSIBILITIES:

Principal Responsibilities - M&A
  • This is a ‘hands on' role which will require a full understanding of the services offered by the business and the costs and profitability underlying those sales.
  • Development of robust financial business cases for organic growth and acquisitions, including payback models, cash flow forecasts etc. This will require an understanding of investment strategies and risk associated with those strategies. Financial modelling will need to be done ensuring all key stakeholders have been consulted.
  • For M&A activities, input into all stages of the deal process from the initial negotiation, due diligence and integration from signing to closing.
  • Lead and be responsible for the finance and tax due diligence process for M&A, engaging with consultants and the project team as well as keeping stakeholders fully informed throughout the process.
  • Review financial statements of potential M&A with a full understanding of USGAAP
  • Lead and be responsible for the finance integration of M&A with the ability to support all functions including finance functions such as Accounts payable, Accounts receivable, payroll and pension, Treasury, etc. Ensuring a smooth transition into business as usual for the for site delivery teams.

Principal Responsibilities - Commercial
  • Due to the varying demands of M&A activities this role will play an important role supporting the global Commercial Finance team and will be assigned various responsibilities including the preparation of domain profitability, driving standardisation and automation to existing systems, processes and procedures to move towards a more global approach to Commercial support
  • Partner the business in the construction and review of commercial supply agreements and major contracts with strategic customers ensuring all financial implications and risks are considered and challenged.
  • Work closely with and proactively build and maintain effective relationships with the global commercial sales team, SBD group, BSG (Business Steering Group) providing finance support and insight as required. Provide coaching and training linked to Finance.
  • Attending the BSG and SBD meetings as appropriate presenting global financial information in an informative way and providing financial insight as an active member of the group.
  • Finance lead for specific business objectives as required.


BACKGROUND REQUIREMENTS:
  • Qualified Certified Public Accountant with 5+ years practical experience
  • Business Partnering experience essential with the ability to constructively challenge and highlight opportunities and risks.
  • Experience in supporting and leading M&A and Due Diligence activities.
  • Operated at management level or project lead.
  • Have proven commercial finance experience with good commercial judgement and string analytical skills.
  • Independent with the ability to be flexible and cope effectively under pressure and influence.
  • Have strong IT skills
  • Have excellent verbal and written communication skills with the ability to build and maintain credible relationships with key stakeholders across the global business
  • Strong attention to detail, excellent in analysing and interpretation of data.


Desirables
  • Knowledge and experience supporting tax due diligence and integration
  • Experience in reviewing customer contracts and supply agreements
